Terms of Service
These Terms of Service and End User License Agreement (“Terms”) govern access to and use of the Xalec AI website and all Xalec AI products including Xalec AutoML Services and Reproducible Analytics Studio (collectively, the “Services”). By accessing or using the Services you agree to be bound by these Terms. If you do not agree, do not access or use the Services.

1. Definitions
“Xalec AI”, “we”, or “us” means Xalec AI and its affiliates.
“User” or “you” means any individual or legal entity accessing the Services.
“Services” means the Xalec AI website, Xalec AutoML Services, Reproducible Analytics Studio, associated APIs, documentation, and any hosted or on-premises deployments.
“Output” means any analysis result, model artifact, report, table, chart, prediction, or other content generated by the Services.
“User Data” means any dataset, file, or information you upload to or process through the Services.
2. License grant
Subject to your compliance with these Terms, Xalec AI grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services solely for your internal research, analytical, or business purposes. All rights not expressly granted are reserved by Xalec AI.
The Services, including all underlying software, algorithms, model catalog logic, workflow orchestration, statistical implementations, and documentation, are proprietary to Xalec AI and protected by copyright, trade secret, and other intellectual property laws. You receive no ownership interest in the Services.
3. Acceptable use
- Do not use the Services for any unlawful, harmful, deceptive, or abusive purpose.
- Do not attempt to bypass access controls, reverse engineer, decompile, or extract the Services’ source code, algorithms, or model weights.
- Do not submit User Data that you do not have the legal right to analyze, process, or share.
- Do not use the Services to develop competing products or services or to train competing machine learning models.
- Do not overload, disrupt, or interfere with the availability or integrity of the Services.
- Do not resell, sublicense, or provide third-party access to the Services without a separate written agreement with Xalec AI.
4. Outputs and your responsibility
Outputs generated by the Services are intended to support analysis and decision-making and are not a substitute for professional review, clinical judgment, or expert validation. You are responsible for:
- reviewing all Outputs before relying on them for any consequential decision;
- verifying that statistical assumptions are met for your specific dataset and study design;
- ensuring Outputs are appropriate for the intended use case, journal, or audience;
- compliance with applicable regulations, guidelines, and institutional requirements when publishing or acting on results.
5. Intellectual property
Xalec AI IP. All intellectual property rights in the Services, including software, algorithms, service catalog, workflow design, UI, and documentation, belong exclusively to Xalec AI. These Terms do not transfer any intellectual property rights to you.
Your IP. You retain ownership of User Data you upload. By using the Services, you grant Xalec AI a limited right to process your User Data for the sole purpose of providing the Services to you. Xalec AI does not claim ownership of your User Data or your Outputs.
Trademarks. “Xalec AI”, “Xalec AutoML Services”, and “Reproducible Analytics Studio” are trademarks of Xalec AI. You may not use these marks without prior written permission. See the Trust page for full trademark guidance.
6. Data and confidentiality
You are responsible for ensuring that any User Data you upload can be lawfully processed under applicable law, including obtaining necessary consents and observing any institutional data governance requirements. Where your use involves personal data, please review our Privacy Notice and, for data subject to GDPR or the Kenya Data Protection Act 2019, request a Data Processing Agreement before uploading personal data.
Xalec AI will treat your User Data and Outputs as confidential. We will not use your User Data to train shared models or share your results with third parties except as described in our Privacy Notice or as required by law.
7. Fees and billing
Certain Services or features may require payment of fees or the consumption of credits as described in the applicable service agreement or in-product billing interface. Fees are non-refundable except as required by law or as expressly stated in a separate agreement. Xalec AI may change pricing with reasonable notice.
8. Disclaimer of warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, XALEC AI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY OF OUTPUTS, UNINTERRUPTED AVAILABILITY, AND NON-INFRINGEMENT.
9. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, XALEC AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, LOSS OF REVENUE, OR REPUTATIONAL HARM, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL XALEC AI’S AGGREGATE LIABILITY EXCEED THE GREATER OF (A) THE FEES YOU PAID TO XALEC AI IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) USD 100.
10. Termination
Xalec AI may suspend or terminate your access to the Services immediately if you violate these Terms or if required by law. Upon termination, all licenses granted to you cease immediately. Sections 5, 8, 9, 11, and 12 survive termination.
11. Governing law and dispute resolution
These Terms are governed by and construed in accordance with the laws of Kenya, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Services shall first be submitted to good-faith negotiation. If unresolved, disputes shall be finally settled by binding arbitration under the rules of the Nairobi Centre for International Arbitration (NCIA), or by the courts of Kenya as the parties may agree.
12. Changes to these Terms
Xalec AI may update these Terms from time to time. We will post the updated version with a revised effective date. Continued use of the Services after the effective date constitutes acceptance of the revised Terms.
